Company Law Essay Example | Topics and Well Written Essays - 2000 words - 8
Company Law - Essay Example Scholars denote that because a business organization is incorporated, then the assets of these people are protected from seizures by creditors of the company. That is, the owners of the business under consideration are not liable for the liabilities of the company2. It is also easy for the owners of the company to raise capital through the stock market; it is simple to transfer the ownership of this company to another individual, the tax charged on a company is lower as compared to a personal income, and finally, a company that is incorporated is able to achieve a lenient tax restriction, on losses that are carried forward. The Companyââ¬â¢s Act of 2006 provides for the issuance of an article of incorporation once a company is incorporated. This article of incorporation is responsible for identifying the main purpose of the company, the location of the company, the number of shares issued by the company, etc. This article of incorporation will also contain the specific date of the companyââ¬â¢s registration, and the fees paid for the incorporation. It is important to understand that majority of companies are created for the main purpose of doing business. This is an aspect that the British parliament wants to encourage, and this is because the existence of many companies in Britain will lead to an improvement in the economy of the country, and creation of jobs. However, it is important to understand that doing business is a risky affair, and a business organization might fail, or it may acquire some profits3. This acquisition of profits is the major incentive that makes people to engage in a business initiative. It is important to understand that the common law principle denotes that an individual who provides capital for a business operation, and is responsible for sharing the profits that the business makes, is also liable for any debts that the business under

Public Safety and Privacy Analysis Essay Example | Topics and Well Written Essays - 1500 words
Public Safety and Privacy Analysis - Essay Example Civil rights and privacy laws are quite different of each other. The importance of which depends upon the timing of the question. It is established that for the protection of citizens, civil rights are set so that the citizens can enjoy their liberty. The agencies that enforce law are demoralized at the same time when they have to adhere to Fourth amendment as its protection permits crimes to persist (Stimson, 2004). Here we may cite the ruling of apex court concerning sex offenders, privacy and public safety. The Supreme Court of United States of America only just made a rule in relation to sex offenders, privacy, and public safety. The legislating body of America and the Supreme Courts are concerned about public safety or the protection of privileges of people individually. According to the Patriot Act defined by the US government, all the groups responsible for putting law into effect can question the Fourth Amendment if it bypasses the rights of citizens. Americans with the suppo rt of law enforcement organizations are ensured that they will be facilitated with their due civil rights and security (Stimson, 2004). The other day US Supreme Court made a decision according to which, the condemned sex delinquents are to be exposed on internet by giving their addresses over internet. There is no chance given to the delinquents in terms of their identification as a threatening individual for the society (Stimson, 2004). Litigation over electronic control gadgets are popular amongst the litigants despite the fact that in number of cases tools are used properly. According to Wallentine (2010), courts while deciding such case are making use of the ââ¬Å"principles of Graham v. Connorâ⬠with regard to the usage of an ââ¬Å"electronic control deviceâ⬠. In the case of Bryan v. Macpherson, the Ninth Circuit Court of Appeal held that ââ¬Å"TASER or any other electronic control deviceâ⬠is in effect an in-between quantum of force (Wallentine, 2010). In the case of Bryan who made use of drugs and we can say that he was mentally ill in terms of his health. TASER was used by the law enforcement officer due to which, Bryan fell down and lost his four teeth besides minor injuries. After this incident, the law enforcement officer was sure about the fact that Bryan was distressed mentally and was in urgent need of safety (Wallentine, 2010). When the court examined this case along with other matching cases, it was of the opinion that for analyzing the situation of the convict, the law was not applied rightly for the situation. The law enforcement officer made a mistake by selecting the wrong strategy to deal with the convict. The force option was wrong. There is a further reportage that the officer made use of more than required force in using the TASER against the convict for his own reasons that are still unknown until this juncture. According to the court, usage of TASER for Bryan was not reasonable since Bryan did not pose an immediate t hreat to the officer / other person. The decision is enforceable on officers within the 9th Circuit. The judges were of the view that officers are responsible to clearly understand established law (Wallentine, 2010). Another two cases that relate to the usage of TASER namely ââ¬Å"Brooks v. Seattleâ⬠and ââ¬Å"Mattos v. Araganoâ⬠are in the process to be allocated to judges of 9th Circuit Panels to define the law. However, the constitutional explanation is the prerogative of Supreme Court.

Goods and bads, causes and implications of land grabs Essay
Goods and bads, causes and implications of land grabs - Essay Example The proliferative grabbing and acquisition of farming land in the developing countries is one major effect of the food crisis of 2007-08. During this time, the world experienced an increased pressure on the existing natural resources. Coupled with the international export restrictions imposed by major food producers in the world, as well as water scarcity, , the pressure resulted in countries having shortage in the arable land. The governments, as well as individuals, wanted to have enough investment injected into agriculture. Those in power, therefore, sought to increase their economic advantage through land grabbing and illegal acquisition of farmland. The global land rush of the 21st century is, however, different from the land acquisition in the colonial era. Despite being relatively similar in the general process of the perpetrators, the specific drive for the acquisition is different. The process of acquisition in both cases appear to entail the identification of unclaimed land, probably belonging to communities or groups and using it for personal benefits. However, the colonial acquisition of African land was politically driven. The drive that resulted in the success of partitioning and acquisition relied on the ignorance of the people and the compulsion that civilization and religion would impact on the Africans to reduce resistance. This political move was also related to the demonstration of power between the European countries. The acquisition in the twenty-first century, on the other hand, was related to the need for economic power. The farm owners and farmers in the developing countries suffer the ills of land grabbing. Most of them, especially those in need of land to produce their own food expects their respective governments to solve the land crisis in a way that will end the vice and lead to improved food security. However, in most of these countries, the political leadership is unwilling to

Acid Rain Causes, History, and Effects
Acid Rain Causes, History, and Effects Crystal Mullen Acid rain is a form of rain that consists of droplets of that are abnormally acidic due to the pollution in the air particularly the extreme amounts of nitrogen and sulfur released by cars and industrial factories (Briney, 2014). While it is usually in the form of water droplets, acid rain can also occur in form of fog, snow, or even increments of dry materials that may settle within the environment (National Geographic, 2014). Acidic deposition, or acid rain as it is more commonly known, manifests either wet or dry. Wet deposition is precipitation in any form that takes acids from the air and distributes them onto the Earthââ¬â¢s surface. Dry deposition, on the other hand, are polluting gases and particles that attaches to ground through smoke, dust and a lack of rain. Although the dry form is a dangerous form of deposition, wet deposition is actually more dangerous because the rain eventually washes pollutants into lakes, streams, and rivers (Briney, 2014). Furthermore, natural causes such as erupting volcanoes and rotting vegetation can release chemicals that can create acid rain. However, acid rain primarily falls due to human activities such as coal-burning power plants (National Geographic, 2014). The electric and coal burning based gases that form acid rain were first introduced in large amounts into the atmosphere during the Industrial Revolution, In 1852, Robert Angus Smith, a Scottish chemist was the first to discover the relationship between the atmospheric pollution in Manchester, England and the corresponding acid rain (Briney, 2014). Although acid deposition was discovered in the mid-1800s, this discovery did not begin to be common knowledge in the general public until the 1960s. In 1972, the term ââ¬Å"acid rainâ⬠was coined. The general publicââ¬â¢s attention toward acid deposition increased in the 1970s when reports published by the New York Times revealed problems occurring in New Hampshireââ¬â¢s Hubbard Brook Experimental Forest (Briney, 2014). There are quite a few negative ecological effects to acid deposition. One of the more prominent effects is its impact on streams, lakes, wetlands, and other water-based environments. This is because acid deposition, acidifies the waters so that the water would absorb aluminum and then blend in with the soil found around streams and lakes. This toxic combination makes poison the aquatic animals such as clams, fish, and crayfish, clams (National Geographic, 2014). As this acid based liquid flows into streams, rivers and oceans, it does become diluted. However, over time, acids will accrue and then lowers the overall pH of the body. Furthermore, acid deposition causes clay-based soils to release magnesium and aluminum which, in some areas, further lowers the pH. The drop in pH can indeed be significant because if the lakeââ¬â¢s pH drops below 4.8, the plants and animals surrounding that body of water could die. The estimated 50,000 lakes that are in the United States as well as Canada are at risk because they have a below normal pH (about 5.3 for water). Sadly, the pH found in several hundred of these lakes are too low to support any plant or animal water-based life (Briney, 2014). Although some species can withstand the effects of acid deposition, our interconnected ecosystem means that even non-aquatic animals, such as birds are affected by acid deposition (Briney, 2014). In addition to streams, rivers, and oceans, acid rain can substantially impact forest regions. As the acid rain falls on the trees, the trees are then prone to losing their leaves, suffering bark damage, and stymied growth. When these parts of the trees are damaged, it makes these trees prone to disease as well as vulnerable to insect infestation and extreme weather. Furthermore, when acid falls on a forestââ¬â¢s soil, it kills microorganisms in the soil, disrupts soil nutrients, and possibly even cause calcium deficiency. Finally, trees that are at high altitudes are vulnerable to damage caused by acid-based clouds because the acidic moisture in the clouds blankets these trees (Briney, 2014). Although acid rain damage to forests is seen all over the world, the cases of acid rain damaged trees that shows most damage are found in Eastern Europe. In Poland and Germany, about half of their forests are damaged. Switzerland also has at least 30% acid rain damage in their forests (Briney, 2014). Acid deposition has even impacted art and architecture because of the acidââ¬â¢s ability to corrode certain types of materials. As acid rain falls on buildings (particularly buildings constructed with limestone) the acid reacts with minerals found in the stones and sometimes causes the building to wash away and disintegrate. Furthermore, acid rain can corrode cars, modern buildings, airplanes, railroad tracks, steel bridges, and even pipes below and above the ground (Briney, 2014). Thankfully there are quite a few steps taken today by various government agencies to reduce nitrogen and sulfur emissions. Many governments now actually require energy producers to clean their smoke stacks by using scrubbers that can trap the pollutants before they are released in the air. Furthermore governments are also mandating catalytic converters to be installed in cars to lower their emissions. Finally, though certainly not exhaustively, alternative energy sources, such as solar plants and windmills are gaining more prominence so government funding is being administered for the restoration of ecosystems that have suffered acid rain damage worldwide (Briney, 2014). This is great news for our environment. Iââ¬â¢m sure that more funding, as well as private sector support will continue to work to restore the ecosystem from the damage caused by acid rain. Conclusion As far as I know, I have never personally suffered adverse effects due to acid deposition. Unlike Kimberly from Diffââ¬â¢rent Strokes, I never had green hair from washing with rain water. However, I wouldnââ¬â¢t want to wait until my hair ââ¬â or skin was green, before taking action to improve our environmentââ¬â¢s air quality. Furthermore maintaining higher levels of air quality ensures Iââ¬â¢m not vulnerable to the dry form of acid rain and have to battle asthma or other breathing issues. Finally, Iââ¬â¢m thankful that we are now fighting acid deposition because protecting air quality, which in turn protects water quality, means my six-year-old nephew will have a greater chance of living a long and healthy life without asthma, indigestion due to tainted water or green hair. I hope the measures to reduce acid rain continue. References Briney, A. (2014). Acid Rain The Causes, History, and Effects of Acid Rain. The Development of Heathcliffââ¬â¢s Character in Wuthering Heights Essay
The Development of Heathcliffââ¬â¢s Character in Wuthering Heights Heathcliff is a character who is ever present in ââ¬Å"Wuthering Heightsâ⬠and throughout the novel his character changes. At first he is a poor, homeless child, then he becomes a loved and neglected victim, then he is a degraded lover, and finally he transforms into a vicious, lonely master. Heathcliff is introduced into the novel as a homeless child. He is a ââ¬Ëââ¬Å"dirty, ragged, black-haired childâ⬠ââ¬â¢ who Mr. Earnshaw brings to Wuthering Heights from Liverpool. He is constantly referred to as ââ¬Ëitââ¬â¢ and a ââ¬Ëgypsyââ¬â¢. His wife, Mrs. Earnshaw, is furious that Heathcliff has been brought into the house and the Earnshawsââ¬â¢ son, Hindley, is jealous of the apparent love his father is giving Heathcliff. Hindley therefore beats up and bullies Heathcliff throughout his childhood, especially when he becomes master of the Heights when Mr. Earnshaw dies: ââ¬Ëâ⬠¦reminded him to order Heathcliff a floggingââ¬â¢. This shows that Heathcliff has been transformed from a poor, homeless child into a neglected victim. However, Mr. Earnshaw treats Heathcliff with more love than his other children: ââ¬Ëâ⬠¦and petting him up far above Cathyââ¬â¢ This shows that Heathcliff is loved by Mr. Earnshaw but also neglected by Hindley and Mrs. Earnshaw. It is because of Mr. Earnshawââ¬â¢s love for Heathcliff that Hindley gets jealous and abuses him. However, Heathcliff doesnââ¬â¢t really react to Hindleyââ¬â¢s abuse, because he doesnââ¬â¢t cry or complain and just gets up and carries on. However, he manipulates Hindley into giving him Hindleyââ¬â¢s horse: ââ¬Ëââ¬Å"â⬠¦if you wont I shall tell your father of the three thrashings youââ¬â¢ve given me this week. This shows that Heathcliff can be manipulative. After fighting with .. ... a servant by Heathcliff. He usually obeys him, but when small Cathy asks him to pick some flowers, he does it. Heathcliff is angry by this: ââ¬Ëââ¬Å"And who ordered you to obey her?â⬠ââ¬â¢ This shows that Heathcliff is losing control. However, he also feels he has won everything and has nothing left worth fighting for. He dies soon after, drenching himself in the rain. However, he leaves an exulting face: ââ¬Ëâ⬠¦life-like gaze of exultationââ¬â¢. This shows that Heathcliff has left thinking he has won. He has left to be with Catherine, and the ghosts of them are spotted together, finally: ââ¬Å"Theyââ¬â¢s Heathcliff and a woman, yonderâ⬠. Heathcliff is a character in ââ¬Å"Wuthering Heightsâ⬠whose character has altered tremendously and in turn altered so many others. This is due both to the other characters either showing him love or showing him hate and his own personality.

Hisotry Exam 1
1. Karl Marx predicted that a socialist revolution could only be successful in the most advanced capitalist countries with a large proportion of factory workers ââ¬â the proletariat (England, Germany, the U. S. or France). However , Contrary to his ââ¬Å"scientific ââ¬Å" prediction, the socialist revolution succeeded in the most backwards agrarian country ââ¬â the Russian Empire. Answer : Karl Marx Stated that socialist revolution could only be successful in the most advanced capitalist countries instead of the most backwards agrarian countries. It is predicted wrongly to me because for socialism to work you need to exterminate a certain amount of the population and for that to work you have to exterminate the ââ¬Å"middle classâ⬠because these people will fight hardest to keep their property and because the most advanced capitalist countries have the biggest Middle classes the system would never be able to work because of the vast power of the middle class. Why this w orked in the ââ¬Å"the most backwards agrarian countries ââ¬Å"like the Russian empire is because of the following reasons: Because the Tsarist regime pre-WW1 oppressed the lower classes there became more and more poverty among the lower classes and the rural agrarian peasants what made room for more strikes and strikes with the goal of securing ownership of the land they worked on, Second the incredibly industrialization that Russia was going through followed that the urban areas where getting overcrowded and the population had to live under horrible and unhealthy living standards resulted in even more strikes a year and that kept building up until the revolution. When World War 1 broke out the chaos got even worse and because the army Conscriptions took skilled workers and brought them into the army whereby these where replaced by unskilled peasants what had an impact on the productivity, And because of poor railroad conditions the cityââ¬â¢s developed mass famines what resul ted into mass abandonment of the cityââ¬â¢s in search for food.Because of this the supply of good to the army; for the war effort began to dwindle and the army started to suffer from lack of equipment and protection from the elements what led to the army revolting against the tsar to. The conclusion, Because the tsar misused his power to oppress the lower classes, and the poor conditions of the working class in urban areaââ¬â¢s gave room for the idea of change, Change to equality, Change for more right to the lower classes and an opening to an ideology of Socialism what gave them that option, And because of desperation for that Change, that idea people where ignorant to see the consequences to what It could lead to. 2.The New Economic Policy (NEP) introduced in 1922 saved the young Soviet Union from the economic collapse and the Bolshevik government from being ousted. In spite of its success, in the end of 1920s NEP was dismantled, which caused a new wave of economic hardships and unprecedented terror. What made the Soviet government under Stalinââ¬â¢s leadership reverse this successful economic policy and resort to such drastic measures in the process? Argue your point Lenin realized that war communism had failed and that he had to choose a different approach to gain the trust of the people again, he therefor chose NEP ( The new economic policy ) he had to choose this system because the people started to revolt against the communist system and he was scared that he would lose control.NEP was planned from the beginning as a between step for Lenin as he says ââ¬Å" NEP is a strategic retreat and a defeat that would be made up once the country was economically healthyâ⬠He gave back the free market system to the Russian people and this created the ââ¬Å"kulaksâ⬠class the middle class they whir the major component for the incredible increase of the Russian economy with some impressive benchmarks, By 1925 agricultural production was at the sa me level as pre-war level, by 1923 private trade was responsible for about 90 % of foods and goods and by 1924 industrial production returned to the 1913 level. Lenin also started to change his enemyââ¬â¢s from not only the nepmen but also the kulaks because ââ¬Å" Only big capital possessed the qualities that were useful to progress : its ability to organize on a large scale, its tendency to plan its sense of discipline. Therefor the kulaks and nepmen remained object of resentment, envy and suspicion. Even politically the NEP system was greatly feared because they considered it a return of Capitalism so Stalin came up with Collectivization after he thought that the economy was fully grown enough, he exterminated and imprisoned almost all of the Kulaks class he portrayed them as enemies of the state and used their labor as slave labor, The areaââ¬â¢s that revolted against this had to pay for it, Stalin tripled the quotaââ¬â¢s leaving famine in the areaââ¬â¢s Ukraine, so uthern Russia and north Caucuses the people started to starve, Stalin called this ââ¬Å"war by starvationâ⬠it was to break the resistance against Collectivism.Collectivism was used to support the massive industrialization by feeding the extremely big workforce that would give the soviets a massive modern military establishment, the heavy industry grew by 400 % making it into an industrial big shot, To support the industrialization Stalin created the largest slave labor ever seen in mankind. Conclusion; There was an idea that drove men like Stalin to horrific deeds like these and that idea was Communism where everyone was equal and everyone served the great nation, everything that came between these men and their ideaââ¬â¢s where exterminated like the Nepmen in 1918 and the Kulaks in 1929 because they were a threat to the great idea because they supported Capitalism but why exterminate them? They supported the economy made sure the people whir happy by selling them goods and services. It was all because the threat that the government could not control their power and that they could revolt against the system if they became to economically powerful. So the best way was to exterminate them and give away their land so they would not be a threat anymore and the people would be happy because they would all get a piece of land. Another reason why Stalin chose to get rid of NEP and start collectivism was that he could use arrested kulaks as his slave labor force to reinforce the industrialization growth of soviet union because as he said it is cheap, substitutes machine and the most severe discipline could be used.
